Premier, Inc. (PINC) entered a merger agreement on September 22, 2025, to be taken private by Patient Square Capital in an all-cash deal valued at $2.6 billion.

Deal Structure:

Premier stockholders will receive $28.25 in cash per share, representing a premium of 9.71% from the stock’s last close.

Company Profile:

Premier is a technology-driven healthcare improvement company based in Charlotte, North Carolina, that operates through its Supply Chain Services and Performance Services segments, offering data analytics, consulting, group purchasing, and technology solutions to help providers, suppliers, and payers improve care quality, efficiency, and outcomes.

Patient Square is a healthcare-focused investment firm with $14 billion in assets under management, leveraging deep industry expertise and partnerships to build market-leading companies in health and life sciences.

Deal Details and Timeline:

In the beginning of September, Bloomberg reported that Patient Square Capital was exploring an acquisition of Premier. The stock was trading at $25.85 when Patient Square was working to raise financing for a potential transaction to take Premier private.

The deal is expected to close by the first quarter of 2026.

Premier received financial advisory services from Goldman Sachs and BofA Securities, with legal counsel provided by Wachtell, Lipton, Rosen & Katz. Patient Square Capital was advised financially by Jefferies and Santander, and received legal counsel from Kirkland & Ellis and Ropes & Gray.

Patient Square Capital is paying 8.24 times the EBITDA for Premier.
