TransDigm Acquires Servotronics for $110 Million in Cash

TransDigm - Servotronics Merger

Servotronics, Inc. (SVT) entered a merger agreement on May 19, 2025, to be acquired by TransDigm Group Incorporated (TDG) through a tender offer valued at $110 million.

Deal Structure:

As per the merger agreement, a subsidiary of TransDigm will commence a tender offer to acquire all the outstanding shares of Servotronics for $38.50 per share in cash, representing a premium of 274.15% from the stock’s last close.

Company Profile:

Servotronics is a New York–based company that designs and manufactures servo controls and related components for aerospace, defense, and industrial applications.

TransDigm is a Cleveland-based global designer and manufacturer of highly engineered aircraft components, supplying a broad range of critical systems and parts to the aerospace and defense industries.

Deal Details and Timeline:

Servotronics began a review of strategic alternatives in March, when its stock was trading at $10.56.

The acquisition will be funded using TransDigm’s existing cash reserves. It expects to commence a cash tender offer for all of the outstanding shares of Servotronics on June 9, 2025.

Houlihan Lokey served as financial advisor, and Bond Schoeneck & King as legal advisor to Servotronics, while TransDigm received legal counsel from Baker & Hostetler.
