Merger Arbitrage

1. WBD: Paramount Skydance (PSKY) announced that on February 19, the 10-day statutory waiting period expired following the Department of Justice’s December 23, 2025, Second Request for Information under the HSR Act for its offer to purchase all the shares of Warner Bros. Discovery (WBD). Paramount also secured clearance from the foreign investment authorities in Germany on January 27, 2026.
2. FOLD: Amicus Therapeutics (FOLD) announced that on February 11, 2026, the FTC granted early termination of the waiting period under the HSR Act.
3. EXAS: Exact Sciences (EXAS) announced that its stockholders voted to approve the acquisition by Abbott (ABT) at the special meeting of stockholders. The deal is expected to close before the end of the second quarter of 2026.
