Merger Arbitrage

1. VRNT: Verint Systems (VRNT) announced that the HSR waiting period expired on November 24, 2025. Verint currently anticipates that the closing of the merger will occur on November 26, 2025.
2. SCS: HNI Corporation (HNI) and Steelcase (SCS) announced that the deadline for Steelcase shareholders to elect the form of merger consideration they desire to receive has been set for December 4, 2025.
3. HBI: Shareholders of Hanesbrands (HBI) approved the company’s merger with Gildan Activewear (GIL) at a special meeting of shareholders. On November 20, 2025, the waiting period under the HSR Act for the merger expired.
