Francisco Partners Acquires Jamf for $2.2 Billion

Jamf Holding Corp. (JAMF) entered a merger agreement on October 29, 2025, to be acquired by Francisco Partners in an all-cash deal valued at $2.2 billion.

Deal Structure:

Francisco Partners will purchase all the outstanding shares of Jamf common stock for $13.05 per share, representing a premium of 17.04% from the stock’s last close.

Company Profile:

Jamf is a cloud software company that helps organizations manage and secure Apple devices through its comprehensive Apple-first management and security platform, enabling seamless, secure, and privacy-focused experiences for users and enterprises alike.

Francisco Partners is an investment firm specializing in technology and tech-enabled businesses, leveraging over $45 billion in assets under management (AUM).

Deal Details and Timeline:

Last month, Reuters reported that Jamf was exploring a sale. The stock was trading at $10.55 when it was revealed that Jamf was working with Citigroup on the sale.

The deal is expected to close in the first quarter of 2026.

Vista Equity Partners, along with Dean Hager and John Strosahl, who together own about 35.3% of Jamf’s shares, have agreed to vote in favor of the deal. As part of the transaction, Vista will exit its 34% investment once the deal closes.

Jamf will continue operating under its existing name and remain headquartered in Minneapolis, Minnesota.

Citi advised Jamf on financial matters, while Kirkland & Ellis provided legal advice. Francisco Partners received financial advice from RBC Capital Markets, Goldman Sachs, and Deutsche Bank Securities, with legal support from Simpson Thacher & Bartlett.

Francisco Partners is paying 2.50 times the sales of Jamf.
