Bright Scholar Education Holdings Limited (BEDU) entered a merger agreement on October 13, 2025, to be taken private by Excellence Education Investment Limited in a deal valued at $243.83 million.
Each American depository share (ADS), representing four Class A ordinary shares, will be canceled in exchange for the right to receive $2.3 in cash per ADS, and the Dissenting Shares will be canceled in exchange for the right to receive $0.575 in cash per Share without interest.
The price of $2.3 per ADS represents a 7.48% premium from the stock’s last close.
Bright Education Mergersub Limited, a wholly owned subsidiary of Excellence Education, will be merged with Bright Scholar. Bright Scholar will continue as the surviving company and become a wholly owned subsidiary of Excellence Education.
Bright Scholar is an education services group that operates K-12 schools and provides international and bilingual education, as well as complementary programs and consulting services across China, Canada, the United States, and the United Kingdom.
In May, Bright Scholar Education received a preliminary non-binding proposal from a buyer group comprised of Chairperson Hongru Zhou, Chief Executive Officer Ruolei Niu, and several major shareholders, including Excellence Education Investment, Ultimate Wise Group, and Sure Brilliant Global. The proposed purchase price was $0.5 per Class A ordinary share, or $2 per ADS, in cash. The stock was trading at $1.7 before the bid was announced.
The deal is expected to close in 2025.
