Compass, Inc. (COMP) entered a merger agreement on September 22, 2025, to acquire Anywhere Real Estate Inc. (HOUS) in an all-stock deal valued at $7.08 billion.
Each share of Anywhere common stock will be exchanged for 1.436 shares of Compass Class A common stock, which represents a value of $13.01 per Anywhere common stock share, which is at a premium of 84.02% from the stock’s last close.
Anywhere Real Estate is a residential real estate services company based in Madison, New Jersey, providing franchise, brokerage, relocation, title, and mortgage services through well-known brands like Coldwell Banker, Century 21, and Sotheby’s International Realty, supporting a global network of over 300,000 affiliated agents.
Compass is a tech-enabled real estate services company based in New York City, providing a cloud-based platform and brokerage services that empower residential agents to manage, market, and grow their business efficiently across the U.S.
Upon closing, Compass shareholders will hold approximately 78% of the combined company, with Anywhere shareholders owning the remaining 22%.
The deal is expected to close in the second half of 2026.
Robert Reffkin and TPG Angelo Gordon have agreed to vote their Compass and Anywhere shares, respectively, in favor of the transaction.
Compass has secured a $750 million financing commitment from Morgan Stanley Senior Funding.
Goldman Sachs advised Anywhere Real Estate on financial matters, with legal support from Wachtell, Lipton, Rosen & Katz. Compass was advised financially by Morgan Stanley and legally by Kirkland & Ellis.
Compass is acquiring Anywhere Real Estate at 14.78 times EBITDA.
