Air Lease Joins SMBC Aviation – Merger Arbitrage Mondays

Air Lease entered a merger agreement on September 2, 2025, to be acquired by Sumitomo Corporation, SMBC Aviation Capital Limited, Apollo Funds (APO), and Brookfield (BAM) in an all-cash deal valued at $28.2 billion. The deal would bring Air Lease under the wing of the world’s third-largest leasing company, SMBC Aviation.

Air Lease stockholders will receive $65 in cash for each share of Class A common stock, representing a premium of 7.96% over the stock’s last close. The company will be acquired by a new holding company, Sumisho Air Lease, whose shares are held by Sumitomo, SMBC Aviation, and investment vehicles affiliated with Apollo-managed funds and Brookfield.
