Merger Arbitrage
- SWI: SolarWinds (SWI) filed a definitive information statement. The merger is expected to be completed in the second quarter of 2025.
- CHX: The UK’s Competition and Markets Authority (CMA) has determined that, based on the available evidence, Schlumberger’s (SLB) acquisition of ChampionX (CHX) may lead to a substantial lessening of competition (SLC) in certain UK markets. The CMA identified concerns in the supply of Production Chemical Technologies (PCTs) for oil and gas operations, poly-crystalline diamond (PCD) bearings used in Directional Drilling Services (RSS), and Quartz Transducers, which are crucial for Permanent Downhole Gauges (PDGs). The companies have until April 3, 2025, to propose remedies addressing these concerns; otherwise, the merger will face a Phase 2 investigation.
- ACCD: Shareholders of Accolade (ACCD) approved the company’s merger with Transcarent at a special meeting of shareholders. The deal is expected to be completed in the second quarter of 2025.
