Insider Weekends – The Battle for tronc Heats Up

Welcome to edition 353 of Insider Weekends. Insider buying increased with insiders buying $176.83 million of stock compared to $127.49 million in the week prior. Selling decreased with insiders selling $1.23 billion of stock last week compared to $2.46 billion in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week dropped to 6.94. In other words, insiders sold almost 7 times as much stock as they purchased. The Sell/Buy ratio this week compares favorably with the prior week, when the ratio stood at 19.31.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

Notable Insider Buys:

1. tronc, Inc. (TRNC): $13.71

Director Patrick Soon-Shiong acquired 2,950,000 shares of this newspapers and media company, paying $14.87 per share for a total amount of $43.87 million. These shares were purchased indirectly by NantCapital, LLC.

This was not an open market purchase but the motivation behind this large purchase made it interesting enough to include in this week’s edition of Insider Weekends. Following this purchase, Mr. Soon-Shiong and entities associated with him have increased their stake to nearly 25% of the company. This article does a great job of providing the background behind the battle between the CEO and Mr. Soon-Shiong to take control of tronc.

  • Director Maky Zanganeh acquired 18,240 shares, paying $23.34 per share for a total amount of $425,669. Mr. Zanganeh increased his stake by 7.42% to 263,935 shares with this purchase. 13,240 of these shares were purchased indirectly by a minor dependent.

3. Sears Holdings Corporation (SHLD): $8.5

Chief Executive Officer Edward S. Lampert acquired 525,936 shares of this department stores chain, paying $7.93 per share for a total amount of $4.17 million. Mr. Lampert increased his stake by 1.68% to 31,842,833 shares with this purchase.

This was Mr. Lampert’s largest purchase of Sears in over a year. He has however purchased shares of Sears spin-offs like Sears Hometown & Outlet Stores (SHOS) and Land’s End (LE) several times over the last year.
